Functions
The attorney
- Performs research and reviews and drafts agreements for departments and business needs.
- Provides accurate legal guidance to the different businesses when needed while working closely with the General Counsel and other in-house counsel.
- Drafts and negotiates all types of business agreements, including, but not limited to, vessel charter parties, service contracts, lease agreements, sale agreements, vendor agreements, performance and payment guarantees, security instruments, assignments, pledges, non-disclosure agreements, and ship mortgages.
- Supports commercial, operational, safety, and regulatory terms review and develops expertise in regulatory areas most relevant to the businesses.
- Advises and communicates with business partners on legal, regulatory, and risk-management matters, including, but not limited to, the Jones Act and US cabotage rules.
- Handles any collections, contractual disputes, and/or other legal issues as they may arise and manages outside legal counsel when necessary.
- Advises on corporate structuring, constitutional documents, the company set up and administration, M&A, compliance and sanctions, and finance.
Requirements
The attorney
- Will work onsite at corporate headquarters in Cut Off, LA.
- Must be licensed to practice law in the State of Louisiana.*
- Hold a Notarial Commission for the State of Louisiana.
- Have strong communication, organizational, and analytical skills.
- Possess strong computer skills in MS Office Suite (Microsoft Word and Excel).
- Practical, commercial, and solution-oriented problem-solving approach.
Note: Though we seek to hire a junior-level, in-house licensed attorney, we are open to reviewing the resumes of applicants of paralegals or other qualified legal professionals with a notarial commission who can demonstrate experience and competence in performing the responsibilities listed above.

- Knowledge of business law and corporate procedures
- Legal experience post law school with a focus on commercial law, transactional work, and/or regulatory advice
